This (“Agreement”) entered as date signing between Grace Legal Group, referred “Owner”, party indicated signature block, referred “User”.

Whereas, Owner is the legal owner of the photos described in Exhibit A, and User desires to use the photos for the purposes outlined in Exhibit B.

Now, therefore, in consideration of the mutual covenants and promises contained herein, the parties agree as follows:

1. Use of Photos: Owner grants User a non-exclusive, non-transferable license to use the photos for the purposes outlined in Exhibit B.

2. Ownership: Owner retains all rights, title, and interest in the photos, and User agrees not to claim any ownership or authorship of the photos.

3. Term: This Agreement shall commence on the date of signing and shall remain in effect until the completion of the purposes outlined in Exhibit B.

4. Termination: Either party may terminate this Agreement with written notice if the other party materially breaches any provision of this Agreement.

5. Law: Agreement shall governed construed accordance laws [State/Country].

6. Entire Agreement: This Agreement contains the entire understanding of the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
